Accredited Investor Notice
1. Why This Notice Exists
Advanced Green Holdings, Inc. (the Company) raises capital for the Boco Tora project under Rule 506 of Regulation D, promulgated under the U.S. Securities Act of 1933, as amended. Securities offered under that exemption are sold only to accredited investors within the meaning of Rule 501(a) of Regulation D.
2. Who Qualifies as an Accredited Investor
Individuals
An individual qualifies as an accredited investor where the individual meets at least one of the following criteria:
Earned income exceeding USD 200,000 (or USD 300,000 jointly with a spouse or spousal equivalent) in each of the two most recent years, with a reasonable expectation of the same income level in the current year.
Net worth exceeding USD 1 million, individually or jointly with a spouse or spousal equivalent, excluding the value of the primary residence.
Holds in good standing a Series 7, Series 65, or Series 82 license issued by the Financial Industry Regulatory Authority (FINRA).
Is a knowledgeable employee of a private fund, as defined under the Investment Company Act of 1940.
Is a family client of a family office that itself qualifies as an accredited investor.
Entities
An entity qualifies as an accredited investor where the entity meets at least one of the following criteria:
Total assets in excess of USD 5 million, where the entity was not formed for the specific purpose of acquiring the securities offered.
Owned entirely by persons who are themselves accredited investors.
Falls within a category of regulated entity recognized as accredited under Rule 501(a), including banks, insurance companies, registered investment companies, business development companies, small business investment companies, registered investment advisers, exempt reporting advisers, and similar.
3. How Accredited Status Is Verified
The Company verifies accredited investor status before any sale of securities. Where the Company conducts a Rule 506(c) general solicitation offering, the Company will require third-party verification through one of the following methods:
A written confirmation from a registered broker-dealer, an SEC-registered investment adviser, a licensed attorney, or a certified public accountant.
Documentation of income (W-2, 1099, tax returns) for the two most recent years.
Documentation of net worth (bank statements, brokerage statements, certificates of deposit, tax assessments) dated within the prior three months, together with a credit report.
Verification will be conducted by the Company or by a third-party verification service engaged by the Company.
4. Non-U.S. Investors
Non-U.S. persons should consult Section 4 of the Website Disclosures and qualified local counsel before considering any investment. The Company will rely on Regulation S where applicable.
5. Risk Acknowledgment
An investment in the Company carries a high degree of risk, including the risk of loss of the entire amount invested. Securities are illiquid and subject to transfer restrictions.
